Charter for the Development Committee — W3C Inc Board of Directors
Purpose
The Board Development Committee enables the Board of Directors to properly discharge its duties, by assuring that its composition is appropriate, that Directors are properly informed, trained, and engaged, and that there is a sufficient, diverse, skilled set of candidates for the Consortium Member Director positions.
Responsibilities and Duties
The Board Development Committee will:
- Develop and maintain onboarding resources for new Directors;
- Recommend training for the Board and individual Directors as appropriate;
- Recommend policies and practices that improve the Board's ability to execute its duties;
- Develop and maintain a record of current Directors' skills and abilities (a 'skill matrix'), to allow gaps to be identified;
- Recommend candidates for appointment by the Board (e.g., Board-Elected Directors, certain vacancies, as allowed by the bylaws);
- Make recommendations to the Consortium Members when they elect Consortium Directors regarding skills that are needed by the Board.
Composition
The Committee consists of at least three Directors appointed by the Board. The Chair or Chairs of the Committee are appointed by the Board.
Delegated Powers
None.
Confidentiality
The Committee will operate under the Board's confidentiality policy.
Meetings
The Committee will meet at least quarterly, or more often as determined by the Chair(s).
