Constitution Of The MIT European Club

Article I: Name

The name of this organization shall be "MIT European Club", hereafter also referred to as "the Club".

Article II: Purpose

The purpose of this organization shall be to organize social and cultural events, that promote the interaction of MIT students and scholars from Europe or with an interest in Europe.

Article III: Membership

Section 1: Types of membership

The MIT European Club shall have two types of members: full members and associate members.

Section 2: Eligibility

Any person, who identifies with the purpose of the MIT European Club, shall be eligible for membership in the Club.

1) Anyone, who requests to be added to the MIT European Club mailing list and submits a minimum set of information as determined by the EC Committee shall be considered an associate member of the Club.

2) All associate members, who pay the Club dues as set by the EC Committee shall be considered full members of the Club.

Article IV: The EC Committee

Section 1: Definition

The MIT European Club Committee (EC Committee) shall be the administrative, organizing and judicial body of the MIT European Club.

Section 2: Membership

The EC Committee shall consist of four to seven officers and the members-at-large.

Section 3: Meetings

1) Meetings of the EC Committee shall be called by the president or two officers, as deemed necessary in order to conduct the business of the Club.

2) The president shall preside over EC Committee meetings and can cast the decisive vote in case of a tie.

3) Quorum for EC Committee meetings shall be three voting members.

4) Any member of the MIT European Club shall be able to attend meetings of the EC Committee. A full member shall also be able to ask for a topic to be put on the agenda.

Section 4: Responsibilities

1) The EC Committee shall supervise admission of new members and maintain the electronic mailing lists of the Club.

2) The EC Committee shall each year determine the annual membership fee.

3) The EC Committee shall be responsible for the planning and organization of all events of the MIT European Club.

4) The EC Committee shall be responsible for the interpretation and enactment of this constitution.

Article V: Officers

Section 1: Rights and Responsibilities of Officers and Members-at-large

The rights and responsibilities of officers and members-at-large shall be:

1) President

The president shall be the representative of the Club in all matters. He shall be a voting member of the EC Committee.

2) Vice President

The vice president shall take over all duties of the president in his or her absence. He shall be a voting member of the EC Committee.

3) Treasurer

The treasurer shall be responsible for the finances of the MIT European Club. He shall maintain detailed financial records of all Club events. He shall be a voting member of the EC Committee.

4) Secretary

The secretary shall keep minutes of all meetings and handle the correspondence of the MIT European Club. He shall be a voting member of the EC Committee.

5) Other officers

In addition there may be officers with specified functions, such as sports chair, activities chair, web master etc. They shall be voting members of the EC Committee.

6) Members-at-large

Members-at-large shall assist in the organization of MIT European Club events and programs. They also organize the participation of the Club in intramural sports. They shall be appointed by the EC Committee and be nonvoting members of the EC Committee. Only full members of the Club are eligible for appointment. Their appointment shall expire with the EC Committee under which they serve.

Section 2: Vacancies in Offices

1) Any member of the EC Committee can resign by submitting a written letter of resignation to the EC Committee.

2) Members of the EC Committee can be removed, if they fail to attend two subsequent EC Committee meetings without excuse. Three voting members of the EC Committee have to approve the removal of an officer. Members-at-large can be removed by a majority vote of the EC Committee.

3) In the event of a vacancy in the office of president, vice president, treasurer or secretary, the vacancy shall be filled by the first available officer in the order specified in section 1 until a new officer is elected (see section 3, paragraph 6).

Section 3: Election of Officers

1) The officers of the MIT European Club shall serve for one year and shall be elected by the general meeting. The newly elected EC Committee members shall take office two weeks after the election. These two weeks shall serve as a transitional period during which the incoming EC Committee members shall prepare for the duties of their offices. EC Committee members shall be elected in the order listed in article V, section 1.

2) Only MIT students shall be eligible to serve as president of the MIT European Club.

3) To be eligible for office, the candidate shall be a full member of the MIT European Club and a member of the MIT community.

4) Candidates shall be nominated for office by full members of the MIT European Club. A candidate shall not be able to nominate himself or herself. Nominations shall close two days prior to elections.

5) To be elected for office, the candidate must receive a majority of the full members present and voting at a General meeting. In the event that no candidate has a majority, all candidates but the two with the largest number of votes shall be stricken from the ballot and another vote conducted.

6) If a vacancy in office according to section 2, paragraph 3 occurs, then a new officer shall be elected within 4 weeks. Unless a general meeting is scheduled the new officer shall be elected by electronic ballot. The term of the officer shall last until the next general meeting.

Article VI: General Meetings

Section 1: Regular meetings

Regular general meetings of the MIT European Club shall be called by the president and meet once a year in the spring term.

Section 2: Special meetings

Special general meetings have to be called if requested by two voting members of the EC Committee or by 20 full members of the Club.

Section 3: Conduct of general meetings

1) The general meeting shall be the final decision making body of the Club.

2) Invitations shall be sent to all members of the Club by electronic mail at least 1 week prior to the general meeting.

3) To be in quorum 20 full members or 20% of all full members shall be present, whichever is less. In addition at least half of the voting members present have to be MIT students.

4) All full members present shall have one vote each.

5) Associate members may attend General Meetings.

Article VII: Amendments

The text of a proposed amendment shall be submitted to all full members of the Club at least one day prior to a general meeting and shall be distributed in printed form at the meeting. The amendment shall take effect if it receives at least two thirds of the votes of full members present and voting.

Article VIII: Application

When common sense dictates that the application of any provision of this constitution would contradict the purpose of the MIT European Club as stated in Article II, then the spirit, rather than the letter, of this constitution shall govern its interpretation.

Article IX: Ratification

1) This constitution shall supersede all previous constitutions of the MIT European Club.

2) This constitution shall be ratified upon acceptance by two thirds of the full members present and voting at a general meeting of the MIT European Club.

3) Upon ratification, this constitution shall go into effect immediately.

Article X: ASA God Clause

The MIT European Club agrees to abide by the rules and regulations of the Association of Student Activities (ASA). This constitution amends to it, and the bylaws of this organization shall be subject to review by the ASA Executive Committee to insure that they are in accordance with the aforementioned rules and regulations.

This constitution was ratified by the general meeting and went into effect on April 26, 1996.
