CONTRACT MODEL ERCIM

As the European host of the W3C Consortium, ERCIM is committed to coordinating the Consortium activities within Europe, ERCIM wishes to entrust the SUBCONTRACTOR with the responsibility for the coordination of the Internationalization activity.

The object of this agreement is to entrust the SUBCONTRACTOR with the responsibility for the coordination of the International World Wide Web Consortium (W3C) Internationalization Working group activities, for ERCIM, European host of W3C .

This agreement shall be effective for a period of twelve (12) months as from January 1^st 2003 until December 31^st 2003.

The SUBCONTRACTOR accepts to perform the services which are entrusted to it, as they are defined below:

In coordination with the Internationalization Activity, and with the Internationalization Working Group and Interest Group,

Develop and review W3C specifications and guidelines with respect to internationalization, including followup work with other working groups;
Document existing best practices and contribute to develop Web internationalization architecture;
Give presentations on Web internationalization;
Maintain the W3C Internationalization Web site.
Coordinate with Industry and European Commission in the area of Internationalization

In addition, the RWS agrees to reply, on schedule, to the demands of the INRIA for the administration and co-ordination of the Project and to assign Mr Richard Ishida to the tasks described above.

The amount to be paid to the SUBCONTRACTOR will be paid with no applicable VAT according to the following payment schedule :

40% at the time of signature of this agreement
30% at the end of month 6 (June 2003)
the balance, 30%, at the end of month 12 (Dec 2003)

The payments will be made according to the rules of private accounting on presentation of invoices sent to the following address:

The maximum period for payment by money order is 45 days with effect from the receipt of the invoice by ERCIM.

In the event that the SUBCONTRACTOR were unable to discharge their obligations as defined in this agreement due to a case of force majeure (in particular strikes or other events independent of their will), the SUBCONTRACTOR shall be released from the requirement to perform their obligations, to the extent of the impediment suffered, provided that they employ all means within their power to prevent or remove the causes of non-performance and pursue the performance of their contractual obligations as soon as these causes have disappeared.

The law applicable to this agreement shall be French law. ERCIM and the SUBCONTRACTOR shall strive to reach an amicable resolution of any dispute which may arise from the interpretation or performance of this agreement.

In the event of a persistent dispute, the latter shall be brought before the competent court.
